19. Dispute Resolution, Arbitration & Class Action Waiver

Informal Resolution. Before initiating arbitration, the party asserting a dispute must send a written notice describing the dispute and supporting documentation and allow 30 days for the other party to respond.

Binding Arbitration. If not resolved informally, any dispute, claim, or controversy arising from or relating to the Site, products, or these Terms shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by this Section. The Federal Arbitration Act (FAA) governs interpretation and enforcement of this arbitration provision. You may choose to have the arbitration conducted by telephone, video, based on written submissions, or in person in the county (or parish) where you live.

Class Action Waiver. YOU AND FLOWZONE BRANDS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

If any portion of this arbitration/class waiver is found unenforceable as to a particular claim, that claim shall proceed in court (exclusively in the state or federal courts located in Wyoming) and the remainder shall remain in arbitration.

20. Governing Law & Venue

Except as preempted by the FAA, these Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Subject to the arbitration provision above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming for any disputes that are not arbitrated.

21. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason. Sections that by their nature should survive termination (e.g., IP, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Arbitration) shall survive.

22. Force Majeure

We are not liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, labor conditions, epidemics, supply shortages, utilities or communications failures, or governmental actions.

23. Miscellaneous

These Terms (together with the Privacy Policy and any additional policies referenced here) constitute the entire agreement between you and us regarding the Site and products. If any provision is held invalid or unenforceable, it will be severed and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of our rights.
